Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and iiAI, Inc. (“iiAI,” “we,” “us,” or “our”) governing your access to and use of the iiAI mobile application, including any associated features, software, services, content, and updates (collectively, the “App”).

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the App.

2. Scope of Service

The App provides a technology-enabled platform designed to collect, process, and present non-diagnostic, non-medical insights derived from activity patterns, behavioral indicators, and related data for informational and supportive purposes only.

The App is not intended to:

• Provide medical advice, diagnosis, treatment, or clinical decision-making
• Replace licensed healthcare providers or professional caregivers
• Function as an emergency response, monitoring, or life-safety system
• Detect, prevent, or predict medical events with certainty

3. No Medical or Emergency Use

The App is not a medical device and is not regulated as such under the U.S. Food, Drug, and Cosmetic Act or similar laws.

You acknowledge and agree that:

• The App does not provide medical or health advice
• The App must not be relied upon in emergency situations
• You are solely responsible for contacting emergency services or qualified professionals when appropriate

4. Eligibility and Authority

You must be at least the minimum age required by applicable law to use the App.

If you access or use the App on behalf of another individual, you represent and warrant that you have obtained all necessary legal authority, permissions, and consents to do so, including consent to data collection and processing as described herein.

5. Accounts and Credentials

Certain features require account registration. You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your credentials
• Accept responsibility for all activity conducted through your account

iiAI reserves the right to suspend or terminate accounts for violations of these Terms or applicable law.

6. Consent to Data Processing and Background Activity

By using the App, you expressly consent to:

• The collection, use, storage, and disclosure of information as described in the Privacy Policy
• Background processing and sensor-based data collection when enabled
• Receipt of non-emergency notifications and alerts

You may withdraw consent at any time, subject to technical and legal limitations.

7. Prohibited Uses

• Use the App for emergency response or medical reliance
• Monitor or surveil any individual without lawful consent
• Use the App for unlawful, abusive, or deceptive purposes
• Interfere with or disrupt App functionality

8. Intellectual Property

All rights, title, and interest in and to the App, including software, models, algorithms, and derived insights, are owned by iiAI or its licensors.

You retain ownership of your personal data, subject to the licenses granted to iiAI under these Terms and the Privacy Policy.

9. Research Use (If Applicable)

Participation in research activities is voluntary. Where applicable, data used for research will be de-identified or anonymized in accordance with applicable law.

10. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IIAI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR RELATING TO USE OF THE APP.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
